Terms of business.
Last updated 12 October 2026.
Atelier Noven is being incorporated in the European Union. Until registration completes, the details below that depend on it (company name, number, registered address, VAT number) are published in our legal notice as soon as they exist.
These terms summarise how we work with clients. Each engagement is confirmed in a written proposal or statement of work (“SOW”) that both sides sign. Where the SOW and these terms differ, the SOW wins. We work with businesses only, not consumers.
1. The Diagnosis
- Fee. A fixed €5,000, excluding VAT, paid in full before work starts. The fee is the same for every client and is not discounted.
- The 72 hours start once we have the completed intake form and read-only access to the systems listed in our access checklist. Delays in access or in the two short validation calls move the delivery time by the same amount.
- You receive a written report ranking the top five bottlenecks by estimated revenue impact, a 90-day roadmap, a 60-minute presentation and two weeks of follow-up questions by email.
- The credit. If you sign any solution within 30 days of the presentation, the full €5,000 is deducted from that solution’s fee. The credit can’t be exchanged for cash or transferred.
- Refunds. Once the clock has started the fee is non-refundable. If we can’t deliver because of something on our side, we refund it in full.
2. Solutions
The Fix, The Launch, The Acceleration and The Transformation are each scoped in a SOW that sets out the work, timeline, fee, payment schedule and, where relevant, the one number we are working to and how it is measured. Unless the SOW says otherwise:
- Projects of up to eight weeks are invoiced 50% at signature and 50% on delivery. Longer engagements are invoiced monthly in advance.
- Invoices are payable within 14 days. Late payments carry interest at the statutory rate for commercial transactions, and we may pause work until they are paid.
- Advertising spend is paid by you directly to the ad platforms, or passed through at cost with no mark-up. It is never included in our fee.
- An optional performance bonus, if agreed, is paid only if the target in the SOW is met, measured the way the SOW sets out.
3. Results
We commit to the work, the effort and the honesty of the measurement. We don’t guarantee a commercial result, because results also depend on your product, market, team and decisions. Any target we agree is a shared goal, not a promise of outcome, unless a SOW expressly says otherwise.
4. What we need from you
Timely access, accurate information, a decision-maker who can approve work, and replies within an agreed time. You remain responsible for your products, your claims in advertising, and compliance in your own market.
5. Intellectual property
- Once paid in full, you own the deliverables made specifically for you: reports, creative, copy, pages and configurations in your accounts.
- We keep our methods, templates, scripts, benchmarks, tools and know-how, and any general learning. We grant you a permanent licence to use anything of ours that is built into your deliverables.
- We may use anonymised, aggregated figures from engagements in our benchmarks. We only name you or publish a case study with your written permission.
6. AI in our work
We use AI tools for research, analysis and first drafts. A person reviews and decides everything that reaches you. We don’t put your confidential data into tools that train on it, and we tell you on request which tools touch your data.
7. Confidentiality and data
Both sides keep the other’s confidential information confidential during the engagement and for three years after it. Where we process personal data on your behalf, we do so under a data processing agreement that meets Article 28 of the GDPR. See our privacy policy.
8. Liability
Each side’s total liability under an engagement is limited to the fees paid or payable under that SOW in the 12 months before the claim. Neither side is liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. Nothing limits liability that the law does not allow to be limited, including for fraud or wilful misconduct.
9. Ending an engagement
Either side may end a monthly engagement with 30 days’ written notice after any minimum term in the SOW. Either side may end immediately if the other materially breaches the agreement and doesn’t fix it within 14 days of notice. You pay for work done up to the end date. Fixed-fee projects can be ended early, but the fee for work already started is due.
10. Non-solicitation
During an engagement and for six months after, neither side will directly hire the other’s staff or contractors who worked on it without written agreement.
11. Law and disputes
These terms and every SOW are governed by the law of the country where Atelier Noven is incorporated, as shown in our legal notice, and its courts have exclusive jurisdiction. Before going to court, both sides will try in good faith to settle any dispute through a senior-level conversation within 30 days.
12. Changes
We may update these terms. Signed engagements continue under the version in force when they were signed.
